OpenActive is a court booking and club management platform designed for racket sports clubs. The Platform provides:

• Court booking and reservation services
• Member management and administration tools
• Payment processing for bookings, memberships, and guest fees
• Ranking and match result tracking

• Website hosting and content management (where applicable)

3. User Accounts and Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Club Administrators

Club administrators ("Club Admins") are responsible for:

• Managing their club's settings, courts, and members
• Ensuring accurate information is displayed on their club pages
• Complying with all applicable laws and regulations
• Maintaining the security of their administrative access
• Setting appropriate booking rules and policies for their club

5. Bookings and Payments

When making a booking through the Platform:

• You are responsible for ensuring the accuracy of booking details
• You are responsible for payment of all fees associated with your booking, including guest fees and floodlight charges where applicable
• Booking cancellations are subject to the individual club's cancellation policy
• Refunds are at the discretion of the club and subject to their policies
• We facilitate payments but are not responsible for disputes between users and clubs

6. User Conduct

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any worms or viruses or any code of a destructive nature
• Interfere with or disrupt the Platform or servers connected to the Platform
• Attempt to gain unauthorized access to any portion of the Platform
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harass, abuse, or harm other users

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by OpenActive and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works, publicly display, or otherwise exploit any content from the Platform without our express written permission.

8. Club Content and Data

Clubs retain ownership of their content, including logos, images, and club-specific information. By using the Platform, clubs grant OpenActive a license to display, store, and process their content as necessary to provide the service.

9. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Platform unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, OpenActive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

11. Indemnification

You agree to defend, indemnify, and hold harmless OpenActive and its officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, violation of these Terms, or infringement of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

13. Changes to Terms
